1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and WIT Holdings, LLC, doing business as WizWit ("WizWit," "we," "us," or "our"), concerning your access to and use of our website, services, and platform.

2. Acceptance of Terms

By accessing our website or using our services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using our services and you must discontinue use immediately.

3. Services Description

WizWit provides demand side platform (DSP) services, including but not limited to:

• AI-powered audience qualification and targeting
• Automated campaign scaling and optimization
• Real-time analytics and performance reporting
• Media buying and placement services
• Lead generation and consumer data capture

4. User Representations

By using our services, you represent and warrant that:

• You have the legal capacity and authority to enter into these Terms
• You are at least 18 years of age
• Your use of our services will not violate any applicable law or regulation
• All information you provide is accurate, current, and complete
• You will comply with all applicable advertising laws and regulations

5. Prohibited Uses

You may not use our services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations or laws
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our services

6. Campaign Content and Compliance

All advertising content and campaigns must comply with:

• Federal Trade Commission (FTC) guidelines and regulations
• Platform-specific advertising policies (Google, Facebook, etc.)
• Industry standards and best practices
• All applicable consumer protection laws

WizWit reserves the right to reject or suspend any campaign that violates these standards.

7. Payment Terms

Payment terms are established in separate service agreements. Generally:

• Fees are due according to the agreed payment schedule
• Late payments may incur additional charges
• Disputed charges must be reported within 30 days
• Refunds are subject to our refund policy outlined in service agreements

8. Intellectual Property Rights

Our services and their original content, features, and functionality are and will remain the exclusive property of WIT Holdings, LLC and its licensors. Our services are protected by copyright, trademark, and other laws.

9. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of our services, to understand our practices.

10. Limitation of Liability

In no event will WIT Holdings, LLC, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of our services, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

12. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use our services will cease immediately.

13. Governing Law

These Terms shall be interpreted and enforced in accordance with the laws of the State of Delaware, without regard to conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
